General terms and conditions
Soap workshop & Giftshop Uzepia
Article 1. Definitions
1.1. In these general terms and conditions, the following terms are used in the following sense, unless expressly stated otherwise or the context shows otherwise:
a. Uzepia: the user of these general terms and conditions: Zeepatelier & Giftshop Uzepia located at Herenweg 23 A in Kudelstaart, registered with the Chamber of Commerce under Chamber of Commerce number 220.127.116.11;
b. customer: the company that enters into an agreement with Uzepia, or that has received a quote/offer from Uzepia or with whom Uzepia has any legal relationship or for whom Uzepia performs any legal act;
c. agreement: the purchase agreement between Uzepia and the customer;
d. product: the product supplied by Uzepia.
Article 2. General
2.1. These general terms and conditions apply to all quotations, offers and agreements regarding the provision of deliveries by Uzepia to the customer and also to all (other) legal acts between Uzepia and the customer, including negotiation and other pre-contractual situations.
2.2. Clauses deviating from these terms and conditions are only valid if and insofar as the parties have expressly agreed in writing or by e-mail.
2.3. The applicability of any purchase or other conditions of the customer is expressly rejected.
2.4. If one or more provisions in these general terms and conditions are at any time wholly or partially invalid or should be annulled, the other provisions of these general terms and conditions will remain fully applicable. The void or voided provisions will be replaced by Uzepia, taking into account the purpose and intent of the original provision(s) as much as possible.
2.5. If Uzepia does not always require strict compliance with these general terms and conditions, this does not mean that the provisions thereof do not apply or that Uzepia would to any extent lose the right to demand strict compliance with the provisions of these general terms and conditions in other cases.
2.6. Uzepia has the right to unilaterally change these general terms and conditions.
Article 3. Offers and quotations
3.1. All offers and quotations, including quotations, brochures and price lists, are without obligation.
3.2. Uzepia is not bound by its offer if there are printing, typesetting or programming errors in its catalogues, e-mail messages, on the website, in quotations or in the agreement.
3.3. Offers or quotations do not automatically apply to future agreements.
3.4. Uzepia has the right at all times to determine that certain products will only be delivered in certain minimum quantities.
3.5. All images, sizes, colours, scents, etc. of the offered products included in quotations, brochures or on the website are only approximate and cannot be a reason for compensation and/or dissolution.
Article 4. Conclusion of the agreement
4.1. The agreement is concluded after the customer has accepted the offer from Uzepia by telephone, e-mail or via the website or after the customer has agreed to a quote from Uzepia.
4.2. A placed order cannot be cancelled.
Article 5. Prices and transport costs
5.1. All prices stated are in euros and exclusive of VAT, import duties, other taxes, levies and duties.
5.2. Uzepia has the right to adjust its prices from time to time.
5.3. The stated price is based on the purchase price and other cost factors known at the time of the conclusion of the agreement. If one of these cost components is increased after the conclusion of the agreement but before delivery due to unforeseeable circumstances, Uzepia has the right to pass on this increase to the customer in all reasonableness.
5.4. The stated prices do not include transport costs.
Article 6. Delivery
6.1. The products are delivered to the customer by post or via a transport company.
6.2. The customer must ensure that the destination where the products are to be delivered is easily accessible.
6.3. Uzepia is entitled to deliver in parts.
6.4. The customer is obliged to purchase the delivered products. Any exceeding of the delivery time does not affect this.
6.5. If the customer refuses to take delivery or is negligent in providing information or instructions necessary for delivery, Uzepia is entitled to store the products at the expense and risk of the customer. If the customer does not purchase the products, regardless of whether payment of the amount owed has already taken place, Uzepia has the right to sell them or have them sold after written notice of default for and on behalf of the customer.
